JOHN P. ORMSTON
John is a former litigation partner from Gowling Lafleur Henderson LLP who specializes in commercial litigation. John has extensive trial experience in a wide variety of commercial matters, including shareholder disputes, promissory notes, guarantees and mortgage underwriting. He has assisted with contributions to Corporate Liability, a journal focusing on corporate liability in civil, criminal and regulatory matters. MICHAEL T.R. LIST
Michael’s practice focuses on providing corporate, commercial, intellectual property and general advice to businesses operating in the new economy, as well as providing general corporate advice to companies operating in the resource sector. He has served as a member of the board of directors of a number of Canadian and international companies, and recently served as the Chief Operating Officer of a multi-national computer hardware manufacturer. He brings practical business acumen to his work with clients in the software, financial services and resource industries.

DENIS S. FRAWLEY
Denis is a former partner from Davies Ward Phillips & Vineberg LLP, having practiced both in Toronto and in New York. Prior to joining Davies, Denis practiced with the private equity group at Dewey Ballantine LLP in New York. Denis practices in the areas of corporate, commercial and securities law, with an emphasis on advising businesses who require securities advice under both Canadian and U.S. law. Denis also has significant experience with negotiated acquisitions and secured and unsecured lending. He has experience with a variety of transactions, including securities offerings, purchases and sales of private businesses and divisions of public enterprises, joint ventures, intellectual property licensing and bank lending.
Denis also regularly advises clients with respect to complex manufacturing, licensing and distribution agreements, working with clients involved in healthcare products, consumer products and educational programs.
With respect to securities matters, Denis has advised clients with initial and subsequent U.S. securities offerings and periodic reporting requirements in Canada and in the U.S., most recently representing a medical device manufacturer on its U.S. IPO. He has advised clients on new corporate governance requirements imposed under the Sarbanes-Oxley Act of 2002 and contributed material to Guy Lander's What is Sarbanes-Oxley? In 2002, Denis was a visiting lecturer at McGill University, where he led a business law seminar: "Venture Capital and the Technology Industry".

MARK W. HAYMAN
Mark practices primarily in the area of corporate transactions and securities law, with a particular emphasis on corporate finance, secured lending, mergers and acquisitions, corporate governance and investment funds. Mark has acted for issuers, underwriters and agents, and has provided advice with respect to international and domestic public and private offerings of debt and equity securities, rights offerings, unsolicited and negotiated take-over bids, issuer bids, insider bids, arrangements, proxy contests, private company acquisitions, private equity financing, and commercial bank and project financing. Mark also regularly
advises public companies regarding corporate governance and stock exchange-related issues. Prior to joining Ormston List Frawley LLP, Mark practiced corporate and securities law in a boutique corporate finance law firm and in the Toronto office of a large national law firm. Between March 2001 and February 2003, Mark was corporate counsel with Magna Entertainment Corp.

HEATHER R. WEIR
Heather has a diverse civil and commercial litigation practice with experience in contract, negligence, professional liability, health and employment matters spanning a wide range of clients and industries. Prior to joining the firm in 2008, Heather was In-House Litigation Counsel at the Canadian Private Copying Collective, enforcing compliance with provisions of the Copyright Act and related tariffs. Heather articled, and spent three years as a litigation associate, with Bennett Jones in Toronto. Heather is an experienced advocate who regularly appears in both provincial and federal courts, mediations and other investigative and dispute resolution forums. Heather combines her law and business training to provide clients with practical advice in managing and resolving legal disputes.

MELISSA K. FALLON
Melissa joined the firm in 2006. She articled with a litigation firm in Hamilton and worked briefly with Lerners LLP in Toronto following her call to the Bar in 2005. Her practice focuses on commercial litigation and general corporate matters, with an emphasis on contractual disputes, employment law matters and claims involving fraud, negligence and misrepresentation.

ANGELA R. WOO
Angela joined the firm in 2007. Before joining the firm, Angela most recently worked in the public sector, where she contributed to the recent reforms to Ontario’s corporate and commercial legislation, including Ontario’s Business Corporations Act and Partnerships Act. Prior to that, Angela worked with a law firm in British Columbia that focused on tax matters. Angela's practice at Ormston List Frawley LLP focuses on general corporate matters and securities matters, with an emphasis on the negotiation of commercial contracts, private placements and securities filings and disclosure.

EKA MAYSYUK
Eka joined the firm as an articling student after obtaining her LL.B. from Osgoode Hall Law School where she focused primarily on corporate and securities law. She summered with the Biovail Corporation legal department and assisted with launching a contracts database system. Prior to obtaining her LL.B in Canada, Eka acquired a Law Degree from the University of the Russian Academy of Education and practiced corporate law for several years in Moscow.
